2. Description of Services

BlackRatio Studio provides a browser-based suite of digital music utilities, including but not limited to:

• Audio-to-MIDI transcription tools (MP3 to MIDI, WAV to MIDI).
• Sheet music engraving and notation conversion (MIDI to Sheet Music, MusicXML to MIDI).
• Interactive piano roll and guitar tablature editors.
• Audio analysis tools, including BPM detection, scale finders, and key/chord identification.
• The browser-based Music Studio DAW.

We reserve the right to improve, update, modify, or temporarily suspend any portion of our tools at any time to perform maintenance, enhance algorithms, or ensure platform security.

3. Eligibility & User Responsibilities

By using BlackRatio Studio, you represent and warrant that:

1. You have the legal capacity to enter into these Terms in your jurisdiction.
2. You will use the platform only for lawful creative, educational, professional, and personal purposes.
3. You will not utilize automated bots, scrapers, or exploits to compromise the stability or security of our infrastructure.

4. User-Uploaded Content & Audio Ownership

You retain 100% ownership of your original musical works, audio recordings, compositions, and arrangements. BlackRatio Studio claims zero ownership, copyright, or licensing rights over the musical content you process using our tools.

Because our core conversion utilities process audio files locally within your web browser's memory, your audio data is not stored or shared by our servers.

5. Music Copyright & Intellectual Property Compliance

Respect for intellectual property is fundamental to the music community. When using BlackRatio Studio:

• Authorized Use Only: You agree that you will only upload, convert, or transcribe audio recordings and musical compositions that you have created, that are in the public domain, or for which you have secured explicit legal permission or appropriate licenses from copyright holders.
• No Automatic Copyright Transfer: Using an automated audio-to-MIDI or notation conversion tool does NOT grant you copyright permissions or commercial rights in third-party songs, recordings, or lyrics.
• Indemnification: You agree to indemnify, defend, and hold harmless BlackRatio Studio and its operators from any claims, damages, liabilities, or expenses arising from your infringement of third-party musical copyrights or intellectual property rights.

6. Prohibited Activities

You agree not to engage in any of the following prohibited behaviors:

• Attempting to bypass access controls, probe administrative endpoints, or disrupt server operations.
• Uploading corrupted, malformed, or malicious files designed to exploit client browsers or server infrastructure.
• Reverse engineering or redistributing proprietary platform code or styling without authorization.
• Using the platform to generate or distribute defamatory, harassing, or unlawful content.

7. Algorithmic Accuracy & Technical Limitations

Our digital signal processing (DSP) engines and transcription algorithms employ mathematical frequency tracking, spectral analysis, and transient segmentation. While highly effective for monophonic lines, distinct melodies, and clean recordings, automated transcription is inherently subject to acoustic constraints:

• Complex polyphonic mixes, background distortion, heavy reverb, or overlapping frequency spectra may produce approximate or incomplete note data.
• Generated sheet music, guitar tablature, BPM values, and chord estimates should be reviewed and verified by the user before professional publication, performance, or commercial release.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

BlackRatio Studio disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that generated files will meet all specific professional standards or that file downloads will remain perpetually available.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall BlackRatio Studio, its operators, affiliates, or contributors be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, data, musical projects, or business opportunities—arising from or related to your use of or inability to use the Services.

Our website may contain links to external third-party resources, documentation, or music technology standards (such as MIDI Manufacturers Association, W3C MusicXML, or VexFlow). These external resources are not operated by BlackRatio Studio, and we assume no responsibility for their content, policies, or practices.
